HỎI:  Công ty tôi hiện là công ty TNHH 2 thành viên nhưng nay chúng tôi muốn chuyển nhượng toàn bộ phần vốn gop này cho 2 thành viên khác vào cty (bán công ty TNHH). Cho tôi hỏi chúng tôi làm như vậy có được không và thủ tục để tiến hành như thế nào ? Kính xin quý luật sư trả lời sớm giúp tôi. Chân thành came ơn Trân trọng

Trường hợp của quý ông (bà) có thể thực hiện đăng ký thay đổi thành viên tại Phòng Đăng ký kinh doanh Sở Kế hoạch và Đầu tư, số 30 Lê Thánh Tôn, Quận 1

Về Thủ tục thay đổi thành viên, quý ông (bà) có thể tham khảo tại trang web Sở kế hoạch và Đầu tư http://dpi.hochiminhcity.gov.vn/Tiếng Việt/thủ tục đăng ký kinh doanh và biểu mẫu chi tiết/thay đổi thành viên …

Theo công văn số 11277CT-XLDL ngày 25/10/2004 của Cục Thuế Thành phố khi đăng ký thay đổi chủ sở hữu, thay đổi hàng loạt thành viên yêu cầu doanh nghiệp phải có xác nhận của cơ quan thuế về biên bản thu hồi thanh hủy hóa đơn hoặc biên bản bàn giao hóa đơn
